1. About these terms

These Terms of Service ("Terms") govern your access to and use of the Tide Picker website, signals, research and related services (collectively, the "Service"), provided by Tide Picker LLC ("Tide Picker," "we," "us" or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

2. Not investment advice

Tide Picker publishes quantitative research, trade signals and educational material. Nothing on the Service is personalized investment, legal or tax advice. We are not a registered broker-dealer or registered investment adviser, and no fiduciary relationship is created by your use of the Service. You are solely responsible for your own investment decisions and for evaluating whether any signal or strategy is appropriate for your situation.

3. Risk and past performance

Trading equities involves substantial risk of loss, including the loss of your entire investment. Backtested results shown on this site were generated by running the same quantitative rules used today against the actual signals and market data that were available on each historical date, and the stocks those rules selected are published on this site. The backtest is therefore a faithful simulation of how the strategy would have traded, but it is still a simulation: it does not reflect actual executed trades, real fills, slippage or live capital at risk, and it is not a reliable indicator of future performance. Past performance does not guarantee future results.

4. Accounts

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity that occurs under your account. Accounts are personal to you and may not be transferred. We may suspend or terminate accounts that violate these Terms.

5. No sharing of signals or content

The Service and all content within it — including signals, portfolios, rankings, research, methodology, charts, code, proprietary indicators and the composite volatility gauge — are confidential and proprietary to Tide Picker LLC and are licensed to you for your own personal, non-commercial use only.

You agree that you will not, directly or indirectly:

• share, republish, forward, post, stream or otherwise make available any signals, alerts, picks or research to any other person, including via chat groups, social media, newsletters, Discord, Slack, screen-sharing or any other channel;
• allow another person to access the Service through your account or credentials;
• scrape, copy, mirror, reverse-engineer, train any model on, or create derivative works from the Service or its content;
• resell, sublicense or commercialize the Service or any output of the Service.

We may terminate accounts that share content without refund and pursue any other remedies available to us.

6. Personal use only — no institutional use

The Service is intended for individual retail subscribers managing their own personal capital. It is not licensed for institutional use, including by hedge funds, family offices, registered investment advisers, broker-dealers, proprietary trading firms, banks, asset managers, or any person trading on behalf of clients or pooled vehicles, and it may not be used as an input into any advisory, model portfolio, fund, or commercial trading product.

7. Intellectual property

All intellectual property rights in the Service are owned by Tide Picker LLC or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms. No other rights are granted by implication or otherwise.

8. Subscriptions and refunds

Paid subscriptions renew automatically until cancelled. You may cancel at any time from your dashboard; cancellation takes effect at the end of the then-current billing period. Refunds, where offered, are governed by the guarantee terms shown at checkout.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability. We do not warrant that any signal will be profitable or that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the fullest extent permitted by law, Tide Picker LLC and its officers, members and affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or any trading losses, lost profits or lost opportunities, arising out of or related to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service at any time for any violation of these Terms. Upon termination, your license to use the Service ends immediately, but Sections 5–10 and 12 will survive.

12. Governing law and changes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. We may update these Terms from time to time; material changes will be reflected by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
